A View from the NYAG Charities Bureau on Governance: People v. NRA et al. –

The NY Attorney General’s Charities Bureau is responsible for enforcing the law governing the administration and operation of charitable nonprofits formed or operating in NY. In August 2020, the NY AG commenced a charities based law enforcement action against the National Rifle Association of America, Inc., a NY not-for-profit corporation, and various current and former officers. The lawsuit alleges that the NRA, through the improper conduct of senior officers and the failure of the board to exercise adequate oversight, engaged in persistent illegal and unauthorized activities. Alleged unlawful acts include extensive insider transactions, abuse of vendor relationships and routine overrides of internal financial controls that allowed senior officers and directors to reap millions in personal benefits. The lawsuit also alleges that the NRA failed to respond appropriately to whistleblower concerns and a host of other red flags. In this presentation, Emily Stern, a Co-Chief of the Enforcement Division of the Charities Bureau, will explore these and other compliance issues raised by the allegations in the NY AG’s lawsuit. (It should be noted that the NY AG lawsuit is currently pending and there has been no finding of liability yet against the NRA or any of the other named individual defendants.)
